GENERAL TERMS AND CONDITIONS

of making products in Europrint Bulgaria Ltd.

GENERAL PROVISIONS

These General Terms & Conditions shall regulate the order, the performance, payment and delivery of the product by Europrint Bulgaria Ltd, Sofia. The order shall be executed in accordance with the parameters, defined in the offer of the CUSTOMER. The order shall be received with a handover protocol. These General Terms & Conditions shall be generally valid for all customers of Europrint Bulgaria Ltd. and shall become an integral part of the parameters of each order. The General Terms & Conditions shall be applied for all issues not explicitly settled in the order and shall have the strength of a contract. In case of discrepancy between the order and the General Terms & Conditions, prevalence shall have the arrangements of the order.

The products are manufactured in accordance with a design to be submitted by the CUSTOMER to the CONTRACTOR in a manner and for a period specified in advance with the offer. The product design can be developed alternatively by the CONTRACTOR in accordance with parameters submitted in advance by the CUSTOMER.

ACCEPTANCE AND EXECUTION OF THE ORDER

The order shall be executed by completing and signing an order request, which shall be an integral part of the General Terms & Conditions and shall include: description of ordered products (size, colour, paper and content); quantity; time for execution; and price, to be determined on the basis of the offer, submitted by the CUSTOMER. The order may be submitted by fax or email, in which case the order shall be deemed accepted upon sending confirmation by the CONTRACTOR.

The order shall be deemed accepted and generating obligations for the CONTRACTOR provided that the CUSTOMER has acknowledged the General Terms & Conditions and the parties have reached agreement about the ordered products (size, colour, paper and content); quantity; time for execution; price and payment through signing the order request. If the CUSTOMER places the order by email it shall be deemed that he has familiarized himself with the General Terms & Conditions, published on the CONTRACTOR’s website at the following internet address: www.europrint-bg.com.

Europrint Bulgaria Ltd shall procure the materials necessary for the technical execution of the order, observe the parameters fixed by the CUSTOMER and deliver the finished products to the CUSTOMER in accordance with the arrangements in the order.

If the order is to be executed according to CUSTOMER’s design, the design itself shall be submitted to Europrint Bulgaria together with the necessary information and materials, with a view to manufacturing the respective item.

If the order is to be executed according to a design developed by Europrint Bulgaria, the design shall be submitted to the CUSTOMER for his approval. The design shall be deemed approved, if the CUSTOMER does not express in writing within 3 days motivated and explicit disapproval with the design. The CUSTOMER shall be entitled to see the draft design at any time of its development and until it has been finally approved, the CUSTOMER will be able to make corrections and additions in the interim versions.

Upon acceptance of the design, the CUSTOMER can make changes in it by paying additional remuneration to Europrint Bulgaria, corresponding to the additional efforts invested.

The CUSTOMER shall pay additional remuneration for the design development in dimensions, agreed in the order request.

Upon finishing the products, the CUSTOMER shall be notified in due time and shall have the possibility to accept them within 7 calendar days with a handover protocol.

The CUSTOMER shall be entitled to receive the finished products in accordance with the parameters fixed in the offer and under the conditions of the order.

PRICES AND PAYMENT

For the work done, Europrint Bulgaria Ltd shall receive remuneration in accordance with the time limit and under the payment conditions agreed in the order. The price of the products shall be fixed in BGN or the BGN equivalence of the foreign currency at the time of making the payment.

The price and the deadline for payment shall be arranged in the offer submitted to the CUSTOMER. The offer for each order shall be an integral part of the General Terms & Conditions and shall include the offered price, which shall be determined depending on the time for executing the order and the ordered quantity. The CUSTOMER shall specify in his order the quantity and the time for executing the products. Each change of these parameters shall result in a respective change of the offered price.

TIME LIMITS

The time for execution and the delivery of the products shall be specified in the order. The time execution starts from the time when the CUSTOMER has submitted all materials necessary for the design development and/or the manufacturing, described in detail in the order, as well the design for the product manufacturing. If the ordered products are to be manufactured under CONTRACTOR’s design, this is explicitly arranged in the order form, in which case the time limit for the execution of the order shall start with the explicit approval of the design given by the CUSTOMER in writing.

DELIVERY AND ACCEPTANCE OF THE FINISHED PRODUCTS

The delivery of the finished products on the territory of Sofia shall be made by Europrint Bulgaria Ltd provided that the value of the order is above BGN 500 exclusive of VAT. In this case, the delivery date shall be the date of unloading the finished products in the CUSTOMER’s warehouse. This shall be also the date on which the ownership and the product risk shall be transferred to the CUSTOMER. In all other cases, the delivery date shall be the date of signing bilaterally the handover protocol. This shall be also the date on which the ownership and the product risk shall be transferred to the CUSTOMER.

The CUSTOMER shall accept the work done in accordance with the parameters of the order, meeting the quality standards applicable for the CUSTOMER. Claims for shortages and obvious defects shall be made by the CUSTOMER at the time of accepting the delivery and shall be recorded in the handover protocol, with the signing of which the CUSTOMER accepts the products. Europrint Bulgaria Ltd shall not be held responsible in cases of claims arising as result of incorrect storage or use of the delivered products.

The CONTRACTOR shall not be held responsible for products which have not been taken in due time.

RESPONSIBILITIES AND CLAIMS OF THE PARTIES

The CONTRACTOR guarantees that the baseline data submitted to him by the CUSTOMER, which are the basis for executing the order, are intellectual property of the CUSTOMER and the CONTRACTOR undertakes not to use them for another customer, even if the orders include printed products identical in type. With a view to protecting his interests and where it is a matter of a single order, and in case of terminating the contract, when the same output materials are used to execute several different orders, the CONTRACTOR shall retain his right to keep them as evidence for a period of three months, during which the CUSTOMER may bring claims for defects in accordance with these General Terms & Conditions.

The CONTRACTOR shall be entitled to keep the baseline data, the films and the punch templates, property of the CUSTOMER, which were used to manufacture the products, for a period of 3 /three/ months from delivering the finished products. After the expiry of these periods and provided that the CUSTOMER did not claim them, the shall be subject to destruction. If the CUSTOMER wishes to keep them beyond the quoted time, he shall declare so and shall cover all costs of the CONTRACTOR in this respect.

If the CUSTOMER wants to abandon for a reasonable cause the already assigned work, before the CONTRACTOR has started its execution, the CUSTOMER shall pay all costs incurred by the CONTRACTOR until the time of such abandonment, including the cost of purchased materials.

If the CUSTOMER wants to abandon without a reasonable cause the already assigned work, he shall pay all costs incurred by the CONTRACTOR until the time of such abandonment, including the cost of purchased materials, the cost of the work done until that time, the profit, which the CONTRACTOR would have from the execution of assigned work and a penalty of 10% on the value of assigned work.

If the CUSTOMER delays payment of assigned work, he shall pay a penalty of 0,2% for each overdue day, but no more than 8% of the total contractual amount. If the CONTRACTOR delays the execution of the order beyond the agreed time through his own fault, he shall pay to the CUSTOMER a penalty of 0,2% for each overdue day, but no more than 8% of the total contractual amount.

All conditions additionally agreed by the parties shall be deemed special conditions and shall be applied with precedence over these General Terms & Conditions.

These General Terms & Conditions were made and adopted by the manager of Europrint Bulgaria Ltd on 05.11.2021.
